GENERAL SALES CONDITIONS
GENERAL SALES CONDITIONS FOR PRINTER PORTUGUESA, SA
The sale of products by and the supply of the services of Printer Portuguesa, SA, shall be governed by the following Terms and Conditions:
1. RIGHTS
All work done by Printer Portuguesa, which is not included in this adjudication, shall be invoiced separately.
2. PRICES
a) Prices are valid for production for 6 months except for change in the cost of paper and transport.
b) Any Changes, requested by the Client, which involve an extension of the period stated in the adjudication
shall be considered as a new order, to which apply the prices in force on the change request date
3. PAYMENTS
a) Invoices shall be issued on the date of the conclusion of the work or on the date of partial delivery if any.
b) Failing agreement to the contrary, invoices shall be paid in the period of time stated in the adjudication, starting to count on the date of the invoice, following which interest shall accrue thereon at the applicable legal rate, until the full payment is done.
4. CARRIAGE AND DELIVERY OF GOODS
a) In the event that the goods are not collected, delivered or accepted within the period of 14 days, for reasons attributable to the Client or for other reasons not attributable to Printer Portuguesa, Printer Portuguesa reserves the right to debit the associated storage, handling and insurance costs to the Client.
b) Printer Portuguesa shall, on the expiry of 12 months from the circumstances described in the preceding paragraph, be entitled to destroy the goods in question.
c) The Client shall examine the goods, even if it has previously received samples.
d) d) The transportation included in this adjudication refers to a standard transportation. Subsequent changes to the agreement may incur extra costs
5. COMPLAINTS
a) Complaints regarding the quantities mentioned in our delivery advices shall be made on the delivery moment.
b) Printer Portuguesa shall only accept complaints in writing, if made within no more than 30 days of the delivery of the goods and provided that the defective samples or products accompany the same.
c) The Client shall only be entitled to the credit corresponding to the goods, which are the subject of a complaint, if it has been given to Printer Portuguesa the opportunity to replace the defective goods within a period no longer than 14 days.
d) The credit above referred only be granted by Printer Portuguesa following the delivery by the Client of all defective goods, title to which shall be vested in Printer Portuguesa on the date that credit is granted.
6. DELIVERY PERIOD
Printer Portuguesa shall not be responsible for delays caused by:
– delay by the Client in compliance with the agreed plan;
– alterations requested by the Client;
– major force cases, such as serious equipment breakdown, raw materials shortage, strikes, fire, flood, etc.
7. PRINT RUNS
The Client shall accept that plus or less 5% variations can occur in respect to the agreed number of copies, otherwise a written agreement shall be done.
